Use of this site signifies your agreement to the Terms of Use. PandaVPN reserves the right, at any time, to modify, revise or update the Terms of Use at any time by updating this posting. Customer confirms his or her acceptance of the modifications or updates by continuing to use the site.

Before using this VPN or you may become a member of PandaVPN, you must read and accept all of the terms in, and linked to, this Terms of Use and the Privacy Policy. We strongly recommend that, as you read this Terms of Use, you also access and read the linked information.

Business Entity and Billing

PandaVPN is a digital VPN, privacy, and internet security software brand operated by MOPUBI LIMITED, UNIT 02, 9/F, THE BROADWAY, NO. 54–62 LOCKHART ROAD, WANCHAI, HONG KONG. The PandaVPN product family includes PandaVPN Pro and PandaVPN Lite.

For PandaVPN subscriptions purchased directly through pandavpnpro.com, MOPUBI LIMITED is responsible for providing the PandaVPN software and VPN services, account access, subscription management, product functionality, refund request handling, and customer support.

Payments may be processed by authorized third-party payment service providers made available at checkout, including PayPal, supported local payment methods, and supported cryptocurrency payment methods. Depending on the selected payment method, these providers may process payment information, payment authorization, one-time or recurring charges, refunds, chargebacks, digital asset transfers, and other payment-related services in accordance with their own terms and privacy policies.

The payment amount, currency, subscription period, renewal price, renewal frequency, and any applicable promotional offer will be displayed before purchase.

Where automatic renewal applies, the selected payment method will be charged at the disclosed renewal price and billing interval until the subscription is canceled.

Services

PandaVPN Services are transitory digital network communications services designed to enhance internet security and privacy. At your request and at your sole discretion, PandaVPN provides an unsupervised and non-monitored data conduit, namely a virtual private network (VPN) connection, for use as permitted under your applicable Personal Account or Business Account.

The account holder is responsible for all use of the PandaVPN Services through the account by the account holder and any Authorized Users, and for maintaining the confidentiality and security of account credentials, except to the extent that unauthorized use results from PandaVPN's breach of these Terms or failure to apply security measures required by applicable law.

Subject to these Terms, PandaVPN permits the account holder and, where applicable, its Authorized Users to access and use the PandaVPN Services. The PandaVPN Services may be modified, updated, interrupted, restricted, or suspended where reasonably necessary for maintenance, security, legal or regulatory compliance, operational requirements, or the protection of PandaVPN, its users, or third parties. Where reasonably practicable and permitted by law, PandaVPN will provide notice of a material interruption or suspension.

PandaVPN Services and subscriptions are not offered, sold, or intended for use in mainland China. Users located in mainland China are not eligible to purchase, access, or use PandaVPN Services.

PandaVPN Services and subscriptions may also be unavailable in other countries or regions due to legal, regulatory, sanctions, payment-provider, platform, technical, or operational restrictions.

To the maximum extent permitted by applicable law, PandaVPN's total aggregate liability arising out of or relating to the PandaVPN Services or the applicable subscription shall not exceed the amount paid by the account holder to PandaVPN for that subscription.

This limitation does not exclude attorney fees, court costs, remedies, liabilities, or damages where their recovery or availability cannot lawfully be excluded or limited.

Nothing in these Terms excludes or limits any liability, remedy, or consumer right that cannot lawfully be excluded or limited under applicable law.

Personal and Business Accounts

Each PandaVPN subscription is designated as either a Personal Account or a Business Account based on the plan identified at the time of purchase. A subscription that is not expressly identified as a Business Account is considered a Personal Account.

A Personal Account is licensed to and may be used by only one natural person, who is the account holder. The account holder may use the PandaVPN Services on devices personally owned or controlled by the account holder, subject to the simultaneous device limit of the purchased plan.

The device allowance included with a Personal Account limits the number of the account holder's devices that may connect to the PandaVPN Services at the same time. It does not provide additional user licenses or permit any other person, including a family member, friend, colleague, or team member, to access or use the account.

The holder of a Personal Account must not disclose the account credentials to another person or allow another person to use the PandaVPN Services through the account. A Personal Account may not be shared, sold, resold, rented, leased, sublicensed, assigned, transferred, or used on behalf of a team, business, organization, or other group. A customer requiring access for more than one person must purchase a Business Account.

A Business Account may be purchased by a legal entity or by an individual acting for business or professional purposes and may be used by its Authorized Users solely for the purchaser's internal business purposes.

"Authorized Users" means the Business Account holder's employees, officers, contractors, or other individuals designated to use the PandaVPN Services on behalf of the purchasing business or organization. The Business Account holder is responsible for all acts and omissions of its Authorized Users and for ensuring that they comply with these Terms.

Authorized Users may access the Business Account only through credentials or access methods provided or approved by PandaVPN. The Business Account holder is responsible for controlling access to those credentials and removing access when an individual is no longer an Authorized User.

A Business Account is licensed according to the maximum number of devices that may connect to the PandaVPN Services at the same time (the "Simultaneous Device Limit"). Business Accounts are not licensed or billed according to named users or user seats.

A device counts toward the Simultaneous Device Limit while it has at least one active VPN connection. The technical method used by PandaVPN to identify and count active devices may vary by platform. Each active device counts toward the Simultaneous Device Limit regardless of which Authorized User is operating that device.

When the Simultaneous Device Limit has been reached, additional connection attempts may be denied until an active device disconnects or the Business Account holder purchases a higher device tier.

The initial charge for a Business Account is determined by the billing period and device tier selected at checkout. Unless the subscription is canceled before the applicable renewal date, it will automatically renew for the same billing period and device tier at the renewal price disclosed at checkout and in the order confirmation.

If the renewal price changes, PandaVPN will provide any notice required by applicable law before the new price takes effect.

Any upgrade, downgrade, or other change to a Business Account's device tier is subject to the options, price, billing treatment, and effective date displayed when the change is requested.

A Business Account may not be sold, resold, rented, leased, sublicensed, assigned, transferred, or made available to customers or unrelated third parties. Access may be provided only to Authorized Users acting on behalf of the purchasing business or organization.

PandaVPN may restrict access to, suspend, or terminate an account in cases of a material violation of these Terms, fraud, abuse, security risk, legal or regulatory requirement, or misuse of the PandaVPN Services.

Refund eligibility following a suspension or termination is governed by the Refund Policy and applicable law.

Nothing in this section limits any non-waivable rights available under applicable law.

Refund Policy

For purchases made directly through pandavpnpro.com, users may request a refund within 7 days of the initial purchase. The 7-day plan is non-refundable.

Where a website subscription includes automatic renewal, users may cancel it at any time through their PandaVPN account or the relevant payment provider. Cancellation prevents future renewal charges but does not automatically result in a refund for the current subscription period. Renewal payments are generally non-refundable unless otherwise required by law or approved under this Refund Policy.

Purchases made through the Apple App Store or Google Play are subject to the payment, subscription, cancellation, and refund policies of the relevant platform.

Certain local payment methods and cryptocurrency payment methods may not support refunds after the payment has been completed due to restrictions imposed by the relevant payment provider or payment network. Where applicable, such restrictions will be displayed at checkout or otherwise communicated by the relevant payment provider.

Accounts suspended or terminated due to a violation of these Terms are generally not eligible for a refund, except where a refund is required under applicable law.

Intellectual Property Rights

Subject to these Terms, PandaVPN grants the applicable account holder a limited, non-exclusive, non-transferable, and non-sublicensable license, for the duration of the applicable subscription, to:

download, install, and use the PandaVPN software on devices permitted under the applicable Personal Account or Business Account; and
access and use the PandaVPN Services, including the products and services made available through the PandaVPN software or the PandaVPN website.

For a Personal Account, this license may be exercised only by the individual account holder. No other person may access or use the PandaVPN Services through that account.

For a Business Account, the Business Account holder and its Authorized Users may exercise this license solely on behalf of the purchasing business or organization, subject to the purchased Simultaneous Device Limit.

The Business Account holder is responsible for ensuring that all Authorized Users comply with these Terms. Allowing Authorized Users to use the Business Account in accordance with these Terms does not constitute an assignment, transfer, or sublicense of the license.

No other right or license is granted with respect to the PandaVPN Services. This license ends when the applicable subscription expires or is terminated, or when PandaVPN terminates the account in accordance with these Terms.

The PandaVPN Services, including, but not limited to, the PandaVPN software, mobile application and all other items, are owned and copyrighted by PandaVPN, and are protected worldwide. We retain all right, title and interest in and to the PandaVPN Services and any portion thereof, including, without limitation, all copyrights, trademarks, service marks, trade secrets and other intellectual property rights. You shall not take any action to jeopardize, limit or interfere in any manner with our ownership of and rights with respect to the PandaVPN Services. All rights are reserved unless otherwise noted.

Prohibited and Restricted Uses

Your access to and use of the PandaVPN Services is subject to these Terms and all applicable laws and regulations. We reserve the right, at any time, in our sole discretion, with or without notice, to terminate the accounts of, and block access to the PandaVPN Services to any users who infringe any applicable laws or these Terms.

While using the PandaVPN Services you agree not to, and agree not assist, encourage, or enable others to use the PandaVPN Services:

1) for unlawful, illicit, illegal, criminal or fraudulent activities, including but not limited to port scanning, sending spam, sending opt-in email, scanning for open relays or open proxies, sending unsolicited e-mail or any version or type of email sent in vast quantities even if the email is routed through third-party servers, any pop-up launching, use of stolen credit cards, credit card fraud, financial fraud, cryptocurrency fraud, cloaking, extortion, blackmail, kidnapping, rape, murder, sale of stolen credit cards, sale of stolen goods, offer or sale of prohibited, military and dual use goods, offer or sale of controlled substances, identity theft, hacking, pharming, phishing, scraping in any form or scale, digital piracy, intellectual property infringements and other similar activities;

2) to assault, interfere, gain unauthorized access, deny service in any way or form to any other network, computer or node through PandaVPN Services;

3) to exploit children in any way, including audio, video, photography, digital content, etc.;

4) to upload or distribute in any way files that contain viruses, worms, trojans, corrupted files, or any other similar software or programs that may damage the operation of another's computer;

5) to interfere with or attempt to interfere with the proper working of the PandaVPN Services, any transactions being offered in connection with the PandaVPN Services or any other activities conducted by us, disrupt our website or any networks connected to the PandaVPN Services, or bypass any measures we may use to prevent or restrict access to the PandaVPN Services;

6) to exploit the PandaVPN Services in any unauthorized way whatsoever, including, but not limited to, by trespass or burdening network capacity;

7) to use any robot, spider, scraper, or other automated means to access our website or PandaVPN Services for any purpose without our prior written permission;

8) to collect or harvest personal information about other users of the PandaVPN Services;

9) to collect or harvest personal data of individuals, without legitimate interest or consent, or in violation of any applicable law;

10) to take any action that imposes or may impose an unreasonable or disproportionately large load on our infrastructure;

11) to share any data or other content with any unreasonably large number of persons, including without limitation sending blast communications to a large number of recipients or sharing content with persons you do not know or who do not know you;

12) to represent that you are the representative or agent of any of the PandaVPN Services, including any of its functionality;

13) to incorporate the PandaVPN Services or any portion thereof into any other program or product;

14) to copy or reproduce, in any form or by any means, any part of the PandaVPN Services;

15) to modify, translate, reverse engineer, decompile, disassemble, or create any derivative works based on the PandaVPN Services, including any of its files or documentation, or any portion thereof, or determine or attempt to determine any source code, algorithms, methods or techniques embodied in the PandaVPN application or any portion thereof;

16) to violate general ethic or moral norms, good customs and fair conduct norms;

17) to violate any third party's rights, including any breach of confidence, personal data, copyright or any other intellectual property or proprietary right;

18) to threaten, stalk, harm, or harass others, or promote bigotry or discrimination;

19) to attempt to manipulate the PandaVPN name, services or products;

20) to solicit or harvest personal information from or communicate with minors;

21) attempt to gain unauthorized access to the PandaVPN Services, user accounts, computer systems or networks connected to the PandaVPN Services through hacking, password mining, brute force or any other means;

22) to use the PandaVPN Services for any military purpose, including cyberwarfare, weapons development, design, manufacture or production of missiles, nuclear, chemical or biological weapons;

23) to otherwise infringe or circumvent these Terms.

In addition, for users who make use of the bandwidth to download for a long time, which makes the servers abnormal and affects other users, PandaVPN will limit their speed in order to protect IP from being abused.

PandaVPN may investigate suspected violations of these Terms and may restrict access to, suspend, or terminate an account where reasonably necessary to address a suspected or confirmed material violation of these Terms, fraud, abuse, security risk, legal or regulatory requirement, or misuse of the PandaVPN Services.

Where appropriate and permitted by applicable law, PandaVPN may request additional information from the account holder or provide notice of the investigation, restriction, suspension, or termination. Immediate action may be taken where reasonably necessary to protect PandaVPN, its users, third parties, or the security and integrity of the PandaVPN Services.

Refund eligibility following any restriction, suspension, or termination is governed by the Refund Policy and applicable law.

PandaVPN may take appropriate enforcement action in response to a violation of these Terms, taking into account the nature, severity, frequency, and consequences of the violation.

Disclaimer of Warranties

Reasonable efforts are taken to improve the accuracy and integrity of the PandaVPN Services, but we are not responsible for downtime, loss of data, corrupt data, service delay, mistakes, out-of-date information, or other errors. Notwithstanding any other provision of these Terms, we reserve the right to change, suspend, remove, or disable access to the PandaVPN Services, or any functionality comprising a part of the PandaVPN Services at any time without notice. In no event will we be liable for making these changes. As a registered user in good standing, you may be provided with limited service by PandaVPN. We do not warrant, and will not have any liability or responsibility for your use of PandaVPN Services or other the products or services we provide. We may also impose limits on the use of or access to the PandaVPN Services, for any reason and without notice or liability. Our website, products and services may be unavailable from time to time due to human, digital, mechanical, telecommunication, software, and other failures. We cannot predict or control when such downtime may occur and cannot control the duration of such downtime.

We shall not be responsible or have any liability for any delay or failure to perform to the extent due to unforeseen circumstances or causes beyond its reasonable control, including, without limitation, failures of your telecommunication or internet service providers, Force Majeure, earthquakes, fires, floods, embargoes, labor disputes and strikes, riots, war, novelty of product manufacture or other unanticipated product development problems, and acts of civil and military authorities.

Choice of Law

This Agreement shall be governed by and construed in accordance with the laws of Seychelles, excluding its rules governing conflicts of law.

Changes to the Terms of Service

We may change our Terms of Service from time to time, without prior notice to you, consistent with applicable privacy laws and principles. Your continued use of the Site or Services constitutes your acceptance of our Terms of Service.
